COMMERCIAL SOFTWARE LICENSE AGREEMENT

This Commercial Software License Agreement (“Agreement”) is a legally binding agreement between you (“Licensee”) and Steve B-27 (“Licensor”) governing the use of the Magento extension software and related materials (the “Software”) made available via Magento Marketplace.
By installing, accessing, or using the Software, Licensee agrees to be bound by this Agreement.
1. License Grant
Subject to Licensee’s compliance with this Agreement and payment of all applicable license fees, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable perpetual license to:
- Install and use the Software on one (1) production Magento installation
- Use the Software on associated development, staging, QA, and local environments
- Use the Software on localhost and reserved domains (including but not limited to
.test,.local,.dev) - Use the Software on unlimited subdomains of the licensed production domain
Each separate production Magento installation requires a separate valid license.
A “production installation” means a live environment serving end users or processing real transactions.
2. Agency and Client Use
Agencies, developers, and contractors may install and configure the Software for a client, provided that:
- Each client production installation maintains its own valid license
- Licenses may not be shared across unrelated entities or separate business operations
Licensee may not pool, rotate, or reuse licenses across multiple production environments.
3. License and Validation
The Software is licensed on a lifetime basis through Magento Marketplace.
The license entitles Licensee to:
- Ongoing use of the Software
- Software updates released by Licensor
- Support services as described in the Marketplace listing
The Software may require a license validation key. Licensee agrees not to disable, bypass, or circumvent license validation mechanisms.
4. Permitted Modifications
Licensee may modify the Software source code for internal business use only.
Licensee may not:
- Distribute modified versions
- Sell modified versions
- Share modified versions with third parties
- Publish modified versions publicly or privately
- Offer modified versions as a competing product
- Remove or alter copyright notices
All derivative works remain the exclusive intellectual property of Licensor.
5. SaaS, Hosting, and Platform Restriction
Licensee may not:
- Provide the Software as part of a Software-as-a-Service (SaaS) offering
- Include the Software in a hosted platform serving multiple unrelated customers
- Use the Software in a multi-tenant environment where multiple businesses benefit from a single license
- Bundle the Software into a managed hosting product without separate licenses per tenant
Each distinct business entity operating a production store requires its own license.
6. Restrictions
Except as expressly permitted, Licensee shall not:
- Copy, reproduce, distribute, or sublicense the Software
- Rent, lease, lend, sell, or assign the Software
- Reverse engineer, decompile, or disassemble except as required by law
- Circumvent technical protections
- Transfer the license without written consent
The Software is licensed, not sold.
7. Ownership and Intellectual Property
Licensor retains all right, title, and interest in and to:
- The Software
- All source code
- All updates and improvements
- All related intellectual property rights
No ownership rights are transferred under this Agreement.
8. Support and Updates
Support is provided to licensed users and is limited to:
- Installation assistance
- Bug fixes
- Clarification of documented functionality
Support does not include:
- Custom development
- Third-party integration work
- Server configuration
- Custom modifications
Licensor reserves the right to determine support scope in good faith.
9. Termination
This Agreement automatically terminates if:
- Licensee breaches any material term
- License validation is intentionally bypassed
Upon termination, Licensee must cease use of the Software and remove it from production systems.
Sections relating to ownership, disclaimers, limitation of liability, indemnification, and governing law survive termination.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- DATA SECURITY
- COMPATIBILITY WITH THIRD-PARTY EXTENSIONS
Licensor does not guarantee uninterrupted or error-free operation.
Licensee assumes full responsibility for testing prior to deployment.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER NEW YORK LAW:
LICENSOR SHALL NOT BE LIABLE FOR:
- LOSS OF DATA
- DATA CORRUPTION
- LOSS OF PROFITS
- LOSS OF REVENUE
- BUSINESS INTERRUPTION
- INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
Total liability under this Agreement shall not exceed the total license fees paid by Licensee.
Licensee is solely responsible for maintaining backups and disaster recovery procedures.
12. Indemnification
Licensee agrees to indemnify and hold harmless Licensor from claims, damages, liabilities, and expenses arising from:
- Licensee’s modification of the Software
- Use in violation of this Agreement
- Combination with third-party extensions
- Improper deployment or configuration
13. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located in New York.
Licensee consents to personal jurisdiction in such courts.
14. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior communications and agreements.
